Payment Terms

Approved wholesale accounts may pay in full at the time of ordering, or may be offered Net 30, Net 60, or Net 90 payment terms at our sole discretion, based on account history, order size, and credit review. Your assigned terms are confirmed in writing at the time of account approval and stated on every invoice. All amounts are in U.S. dollars.

Prompt payment discount — orders paid in full at the time the order is placed receive a 5% discount off the order subtotal. This discount is not available on orders placed using net terms.

For accounts using net terms, payment is due in full on or before the due date shown on the invoice, calculated from the invoice date:

  • Net 30 — payment due 30 calendar days from the invoice date
  • Net 60 — payment due 60 calendar days from the invoice date
  • Net 90 — payment due 90 calendar days from the invoice date

First orders from newly approved accounts are payable in advance unless we agree otherwise in writing.

Late Payment Service Charge

We allow a grace period of ten (10) calendar days following the invoice due date. Any invoice that remains unpaid after the grace period will accrue a late payment service charge of one and one-half percent (1.5%) per month on the outstanding past-due balance, equivalent to an annual percentage rate of eighteen percent (18%). This charge is assessed on the unpaid balance only, is simple rather than compounding, and is prorated daily for partial months.

This charge applies identically to Net 30, Net 60, and Net 90 accounts, and accrues from the day after the grace period ends until the balance is paid in full. For reference, the cumulative service charge on a past-due balance accrues approximately as follows:

  • 1–10 days past due — no charge (grace period)
  • 11–40 days past due — approximately 1.5% of the past-due balance
  • 41–70 days past due — approximately 3.0% of the past-due balance
  • 71–100 days past due — approximately 4.5% of the past-due balance
  • Thereafter — an additional 1.5% per month until paid in full

This service charge is intended as a reasonable estimate of the administrative cost and cost of capital we incur when payment is delayed, and is not intended as a penalty. If any portion of this charge is found to exceed the maximum rate permitted by applicable law, that charge shall be reduced automatically to the highest rate permitted by law, and the remainder of these terms shall remain in full force and effect.

Disputed Invoices, Suspension, and Collection

  • Good-faith disputes — if you dispute any portion of an invoice, notify us in writing within ten (10) calendar days of the invoice date. Service charges will not accrue on the disputed portion while the dispute is under review in good faith. Undisputed amounts remain due on the original due date.
  • Suspension of terms — accounts with any balance more than thirty (30) days past due may have open terms suspended and pending orders placed on hold. Accounts more than sixty (60) days past due may be converted to prepayment for all future orders.
  • Collection costs — if we refer a past-due account to a collection agency or attorney, you agree to pay reasonable costs of collection, including reasonable attorney's fees and court costs, to the extent permitted by applicable law.
  • Application of payments — payments are applied first to accrued service charges, then to the oldest outstanding invoice.

These payment terms are governed by the laws of the State of Connecticut, without regard to its conflict of laws provisions. These terms form part of our wholesale account agreement and apply to all wholesale orders unless superseded by a signed written agreement between us.
